2. Scope of Services
CodeMonk Studio provides website design, development, and IT solutions as per project requirements. All services are subject to mutual agreement through proposals, contracts, or invoices.

- The scope of work will be outlined in the project proposal or contract.

- Additional requests outside the agreed scope will be charged separately.

- The estimated project timeline is subject to revision due to unforeseen circumstances.
3. Payments & Fees

- Clients must make payments as per the agreed pricing structure, which may include upfront deposits, milestone-based payments, or full payments before project initiation.

- In case of non-payment, CodeMonk Studio reserves the right to suspend work and withhold project deliverables.
4. Intellectual Property Rights

- CodeMonk Studio retains the copyright of all design elements and code until full payment is received.

- Upon full payment, intellectual property rights of the final deliverables transfer to the client, except for third-party software/licenses used.

- We reserve the right to showcase completed projects in our portfolio unless otherwise agreed upon.
5. Client Responsibilities

- The client must provide all necessary materials (logos, content, images, credentials) in a timely manner.

- Any delays in providing materials may impact project timelines and completion.

- The client must review and approve the work at various project milestones.
6. Confidentiality & Data Protection

- Both parties agree to maintain confidentiality of proprietary information.

- We comply with the Information Technology Act, 2000, and IT Rules, 2011, to ensure data security and protection.

- CodeMonk Studio is not responsible for data breaches caused by client negligence, third-party hosting providers, or hacking incidents.
7. Limitation of Liability

- CodeMonk Studio is not liable for any direct, indirect, incidental, or consequential damages arising from the use of our services.

- We do not guarantee specific rankings, traffic, or revenue improvements through our website design and digital services.

- Clients are responsible for maintaining their own website backups unless a maintenance plan is agreed upon.
8. Third-Party Services & Integrations

- We may integrate third-party APIs, software, or hosting services as per client requirements.

- CodeMonk Studio is not responsible for third-party service failures, security breaches, or downtime.

- Clients must comply with the terms of any third-party services used.
9. Revisions & Modifications

- Revisions are allowed as per the agreed number in the contract. Additional revisions will be chargeable.

- Post-launch changes and maintenance will be subject to separate agreements or hourly rates.
10. Termination of Services

- Either party may terminate the agreement with a 30-day written notice.

- In case of termination by the client, payments for completed work are non-refundable.

- CodeMonk Studio reserves the right to terminate services if a client engages in unethical, fraudulent, or illegal activities.
11. Dispute Resolution & Governing Law

- Any disputes shall be resolved through mediation. If unresolved, they will be subject to arbitration in Delhi, India, under the Arbitration and Conciliation Act, 1996.

- The laws of India, specifically Indian Contract Act, 1872, and IT Act, 2000, shall govern these Terms and Conditions.

- Courts of Delhi shall have exclusive jurisdiction over any legal matters.
12. Force Majeure
CodeMonk Studio shall not be held liable for any delays or failures in service due to unforeseen events, including natural disasters, cyberattacks, government regulations, pandemics, or any circumstances beyond our control.
13. Amendments & Updates
We reserve the right to update these Terms and Conditions at any time. Changes will be posted on our website, and continued use of our services constitutes acceptance of the revised terms.
