CodeMonk Studio provides services to both domestic clients in India and international clients worldwide.
By accessing our website, submitting an inquiry, purchasing a service, entering into a project agreement, making a payment, or otherwise engaging with our services, you acknowledge that you have read, understood, and agreed to these Terms.
If you do not agree with these Terms, please do not use our website or services.
1. Definitions
For the purpose of these Terms:
“Client” means any individual, business, organization, company, or other legal entity that purchases, engages, or intends to engage CodeMonk Studio for its services.
“CodeMonk Studio,” “we,” “our,” or “us” refers to the business operating under the trade name CodeMonk Studio.
“Services” means the digital, technology, web development, software, hosting, marketing, maintenance, and related services provided by CodeMonk Studio.
“Deliverables” means the websites, software, designs, graphics, code, content, configurations, documents, reports, or other materials specifically developed or provided as part of an agreed project.
“Agreement” means these Terms together with any applicable quotation, proposal, invoice, statement of work, contract, email confirmation, or other written agreement between CodeMonk Studio and the Client.
“Confidential Information” means non-public business, technical, financial, commercial, client, or project information shared between the parties.

The specific services provided to a Client will be determined by the applicable proposal, quotation, invoice, contract, or written agreement.
The scope of work, deliverables, timelines, pricing, revisions, and other project-specific conditions may vary depending on the nature of the project.
3. Project Scope & Additional Work
The agreed scope of work will be defined in the applicable proposal, quotation, contract, invoice, or statement of work.
Requests outside the agreed scope may include, but are not limited to:

Additional features or functionality
-
Additional integrations
-
Additional design revisions
-
Additional content
-
New modules
-
Additional development work
-
Third-party integrations
-
Post-launch modifications
Such additional work may be charged separately.
Project timelines may be revised where delays occur due to Client requirements, delayed approvals, third-party services, technical dependencies, changes in scope, or circumstances beyond our reasonable control.
4. Payments & Fees
Clients are required to make payments according to the payment terms specified in the applicable quotation, proposal, invoice, contract, or service agreement.
Payment structures may include:

Advance payment

Partial payment
-
Milestone-based payments
-
Recurring payments
-
Monthly payments
-
Full payment before commencement
-
Payment upon completion
-
Other mutually agreed payment arrangements
CodeMonk Studio may accept payments through various lawful payment methods and authorized payment service providers.
Payment methods may include bank transfers, online payment gateways, international payment platforms, cards, or other payment methods made available to the Client.
The available payment methods may vary depending on the Client’s location, currency, transaction type, payment provider, and applicable laws and regulations.
5. Domestic & International Payments
CodeMonk Studio may provide services to Clients located in India and outside India.
For international Clients:

Payments may be accepted in supported foreign currencies or through supported international payment methods.

Currency conversion may be performed by the relevant bank or payment service provider.

Applicable taxes, bank charges, transaction fees, currency conversion charges, or payment processing fees may apply.

The Client is responsible for providing accurate billing and transaction information.

International transactions may be subject to applicable laws, regulations, payment provider requirements, and banking procedures.
Where applicable, invoices and payment records will be maintained in accordance with relevant accounting, tax, and regulatory requirements.
6. Taxes, Duties & Charges
Unless specifically stated otherwise in a quotation or agreement, applicable taxes and government charges may be added to the service fees.
For Indian Clients, applicable GST and other applicable taxes may be charged in accordance with Indian tax laws.
For international Clients, the Client may be responsible for any local taxes, duties, withholding taxes, VAT, GST, sales taxes, or other charges applicable in the Client’s jurisdiction, unless otherwise agreed or required by applicable law.
Any bank, payment processor, currency conversion, or international transaction charges may be borne by the Client where applicable.
7. Payment Delays & Non-Payment
If a payment is not received within the agreed payment period, CodeMonk Studio may:

Pause or suspend project work

Suspend access to applicable services
-
Delay delivery of project files or deliverables
-
Suspend hosting or maintenance services where applicable
-
Withhold final source files or credentials until outstanding payments are cleared
-
Charge applicable late fees if specified in the agreement or invoice
-
Terminate the project or service agreement where appropriate
Suspension of services due to non-payment does not remove the Client’s obligation to pay outstanding amounts.
8. Refund & Cancellation Policy
Refunds and cancellations will be handled according to the applicable quotation, invoice, contract, or Refund/Cancellation Policy.
Unless otherwise agreed in writing:

Payments for work already completed are generally non-refundable.

Advance payments may be non-refundable once project work has commenced.

Third-party costs, licenses, subscriptions, hosting charges, domain charges, advertising expenses, payment processing fees, and other external costs may be non-refundable.

Refund eligibility may depend on the nature and stage of the project or service.

Approved refunds may be processed using the original or an appropriate payment method.
For recurring services, cancellation will generally take effect according to the notice period specified in the relevant service agreement.
9. Intellectual Property Rights
Unless otherwise agreed in writing:

CodeMonk Studio retains ownership and intellectual property rights in its pre-existing tools, frameworks, libraries, templates, processes, methodologies, reusable components, and proprietary materials.

Third-party software, plugins, themes, APIs, fonts, images, stock assets, and licenses remain subject to their respective owners’ terms.

The Client receives rights to the final project deliverables upon receipt of full payment, subject to the applicable agreement and third-party licensing restrictions.

Unpaid work, drafts, source files, or incomplete deliverables remain the property of CodeMonk Studio until applicable payments are received.
CodeMonk Studio may use completed project work for portfolio, promotional, case study, or marketing purposes unless the Client requests otherwise in writing or confidentiality obligations prevent such use.
10. Client Responsibilities
The Client agrees to:

Provide accurate project information

Provide required content, text, images, logos, brand assets, credentials, and other materials

Provide timely feedback and approvals
-
Ensure that materials supplied by the Client do not infringe third-party rights
-
Maintain appropriate backups of Client-owned data unless backup services are specifically included
-
Provide accurate information required for billing and payments
-
Cooperate with reasonable project requirements
-
Ensure that its intended use of the delivered website, software, marketing materials, or other services complies with applicable laws
Delays caused by the Client may affect project timelines and delivery dates.
11. Content & Third-Party Materials
The Client is responsible for ensuring that content, images, videos, trademarks, documents, data, or other materials supplied to CodeMonk Studio may legally be used for the intended project.
The Client shall not knowingly provide content that:

Infringes intellectual property rights

Violates applicable laws
-
Contains fraudulent or misleading information
-
Promotes illegal activities
-
Violates applicable platform or advertising policies
CodeMonk Studio may refuse to use or publish content that it reasonably believes may create legal, security, ethical, or compliance risks.
12. Digital Marketing & PPC Services
Where CodeMonk Studio provides digital marketing, advertising, PPC, SEO, or social media services:

Advertising budgets are separate from CodeMonk Studio’s service fees unless specifically stated otherwise.

Campaign performance depends on numerous factors outside our control.

We do not guarantee specific leads, sales, traffic, rankings, conversions, revenue, or advertising results.

Advertising platforms may change their policies, algorithms, pricing, targeting options, or approval requirements.

The Client remains responsible for the accuracy and legality of its products, services, claims, offers, and advertising materials.

Platform suspension, rejection, account restrictions, or policy decisions by third-party advertising platforms are outside our direct control.
13. Hosting, Maintenance & Technical Support
Where hosting, maintenance, or technical support services are provided:

Services are subject to the applicable hosting or maintenance plan.

Hosting performance may depend on third-party infrastructure and service providers.

Scheduled maintenance, technical issues, network problems, security incidents, or third-party outages may temporarily affect availability.

The Client is responsible for maintaining accurate account and access information.

Backup availability will depend on the hosting or maintenance plan purchased.
-
Additional work outside the agreed maintenance/support scope may be charged separately.
Domain registration, hosting, SSL certificates, premium plugins, themes, APIs, software licenses, and other third-party services may have separate renewal fees and terms.
14. Revisions & Modifications
The number of revisions included in a project will be specified in the applicable quotation, proposal, contract, or agreement.
Additional revisions or modifications beyond the agreed scope may be charged separately.
Changes requested after approval or completion of a project may be treated as additional work.
Post-launch modifications, maintenance, and support may be subject to separate fees or service agreements.
15. Third-Party Services & Integrations
CodeMonk Studio may use or integrate third-party services, APIs, software, hosting providers, payment providers, advertising platforms, plugins, themes, applications, or other technologies.
Third-party services remain subject to their respective terms, pricing, availability, privacy policies, and technical limitations.
CodeMonk Studio is not responsible for:

Third-party downtime

Changes to third-party APIs

Third-party service termination

Third-party pricing changes

Third-party security incidents

Account suspension by third-party platforms

Changes to third-party policies or functionality
Where a third-party service is essential to a project, continued operation may depend on that third party.
16. Confidentiality
Both CodeMonk Studio and the Client agree to maintain reasonable confidentiality regarding non-public information shared during the engagement.

CodeMonk Studio may collect and process personal and business information as necessary to provide its services, communicate with Clients, process payments, maintain records, and comply with applicable laws.
The processing of personal information is governed by our Privacy Policy, as published on our website.
By using our website and services, Clients acknowledge that information may be processed through third-party service providers, including hosting providers, payment processors, communication platforms, analytics services, and other technology providers.
18. Limitation of Liability
To the maximum extent permitted by applicable law, CodeMonk Studio shall not be liable for indirect, incidental, special, consequential, or business-related losses arising from the use of our services.
This may include losses relating to:

19. Website & Service Availability
We aim to provide reliable services but do not guarantee uninterrupted availability.
Services may be temporarily unavailable due to:

Third-party outages

Government actions

20. Termination of Services
Either party may terminate a service agreement according to the termination provisions specified in the applicable contract or agreement.
Where no specific termination provision exists, either party may provide reasonable written notice.
CodeMonk Studio may suspend or terminate services where the Client:

Fails to make required payments

Provides fraudulent information

Uses services for unlawful purposes

Upon termination, the Client remains responsible for all outstanding amounts for services already provided.
21. Prohibited Use
Clients must not use our services to facilitate or promote unlawful, fraudulent, abusive, deceptive, or malicious activities.
This includes using our services for activities that violate applicable laws, third-party platform policies, payment provider requirements, intellectual property rights, or other applicable regulations.
CodeMonk Studio reserves the right to refuse or terminate services where reasonably necessary to protect its business, clients, systems, or legal interests.
22. Force Majeure
CodeMonk Studio shall not be responsible for delays or failures caused by circumstances beyond our reasonable control, including:

Where a dispute cannot be resolved through mutual discussion, the parties may pursue mediation or arbitration where agreed or required under the applicable agreement.
Unless otherwise agreed in writing, disputes shall be governed by the applicable laws of India and shall be subject to the applicable jurisdiction of courts in Delhi, India, subject to mandatory rights available under applicable law.
For international Clients, nothing in these Terms is intended to exclude mandatory legal rights that cannot legally be waived.
24. Governing Law
These Terms shall generally be governed by the laws of India.
Applicable laws may include relevant provisions of Indian contract, information technology, taxation, consumer protection, intellectual property, and data protection laws, as applicable to the particular transaction or service.
25. Amendments & Updates
CodeMonk Studio reserves the right to modify or update these Terms from time to time.
Updated Terms will be published on our website with a revised Effective Date or Last Updated date.
Continued use of our website or services after an update may constitute acceptance of the revised Terms, to the extent permitted by applicable law.
26. Severability
If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, the remaining provisions will continue to remain effective to the maximum extent permitted by law.
27. Entire Agreement
These Terms, together with any applicable quotation, proposal, invoice, contract, statement of work, or other written agreement, constitute the agreement governing the relevant services.
Where a specific written agreement conflicts with these Terms, the specific written agreement shall prevail to the extent of the conflict.
